# XMAQUINA

*A DAO-governed capital vehicle that holds verified equity in private humanoid robotics companies and is building onchain markets for those positions through its Robotics Capital Markets protocol.*

## 01 What is XMAQUINA?

XMAQUINA is a DAO that buys and holds positions in private humanoid robotics companies, with capital deployment decided by onchain governance. It launched in early 2024 and raised $10M through five sold-out Genesis Auctions with about 1,860 holders.

It now holds equity in six private humanoid companies plus Robotico, its own incubation. Its next step is the Robotics Capital Markets (RCM) protocol, which aims to make each position tradable onchain.

## 02 How do onchain markets for pre-IPO robotics equity work?

RCM takes each position through four gated stages, 4 to 8 weeks in total:

- **Deal sourcing:** the core team and advisors source allocations through brokers and secondary platforms.
- **DAO governance:** $DEUS holders vote onchain and a subDAO auction raises the capital.
- **SPV formation:** a dedicated SPV holds confirmed equity on the company's cap table.
- **Token launch:** a subDAO token is minted, paired only with $DEUS and listed on a DEX for 24/7 trading.

SubDAO token holders do not own equity in the company, hold shares in the SPV or receive dividends, and the token can trade at a premium or discount to the SPV's value. The framework assumes Reg S, so US persons are excluded from the offering and redemption. The full redemption and settlement framework had not been published as of May 2026, and RCM was pre-launch.

## 03 What does the DAO hold?

As of May 2026 the DAO Portal reported a $28M treasury. About $18M of that was 300M of the DAO's own $DEUS, valued by the DAO at the $0.06 Genesis price before any market had traded it. The working treasury was about $10M: $6.7M in robotics equity, $3.3M in cash and about $100K of $PEAQ.

The equity sits in eight positions across seven companies, deployed at about $5.2M. Apptronik, 1X Technologies and NEURA Robotics make up 84% of the portfolio, and only three positions are marked above cost. Andersen LLP attested six of the allocations.

## 04 What is $DEUS and how does value reach it?

$DEUS is the governance token of the DAO, with a fixed 1B maximum supply vesting over four years. Holders stake it for xDEUS voting power, which scales up to 12x after 12 months. After an exit, governance may vote to distribute up to 40% of realized proceeds to active xDEUS stakers.

The design routes value to $DEUS through a 5% allocation of each subDAO token supply, a 1% protocol fee on subDAO trading, and demand from every subDAO pair trading against $DEUS. All three depend on RCM volume; until subDAO markets trade, value rests on treasury NAV, incubations and governance.

$DEUS began trading in late May 2026. On October 17, 2026 it traded at $0.0176, a fully diluted valuation of $17.6M and 71% below the $0.06 Genesis price.

## 05 How does it compare with other ways to get robotics exposure?

Secondary platforms such as Forge and Hiive serve accredited investors only, with 10-30% illiquidity discounts, 3-5% fees and multi-week settlement. RoboStrategy (BOT), a closed-end fund listed on Nasdaq in May 2026, offers private robotics exposure in a regulated vehicle, with weekday trading and quarterly pricing.

On paper RCM is the only route that offers retail access, private rounds, 24/7 trading, asset-specific exposure, onchain custody and governance. Its liquidity depth is still being built.

## 06 Who runs it?

MachineDAO LLC, a Marshall Islands DAO LLC governed by $DEUS token voting, is the legal controller of the group. XMAQUINA Foundation Ltd. (Cayman Islands) holds legal title to the equity and invests only on governance approval, and RWA Robotics Ltd. (BVI) issues $DEUS. Of 15 governance proposals submitted through Snapshot, 14 have passed, at an average of about 6.7x quorum.

Three co-founders run the project, with advisors including Michael Ganser, Lex Sokolin, Ruben Portela, Simon Dedic and Alvaro Gracia. Backers include Borderless Capital, Moonrock Capital, MH Ventures, Generative Ventures, Fundamental Labs and Waterdrip Capital.

## 07 What are the main risks?

- **Regulatory:** legal opinions class $DEUS as a utility token, but subDAO token classification has no precedent and the opinions are untested under enforcement.
- **Concentration and self-valuation:** 84% of the portfolio sits in three pre-revenue or early commercial companies marked at last-round prices, and the headline treasury includes self-valued $DEUS.
- **Down rounds:** a lower round at any portfolio company cuts the mark, and the Figure AI and 1X common shares rank behind preferred holders.
- **Routing asset:** fragmented $DEUS liquidity across subDAO pairs could push users to route through stablecoins instead.
- **Vesting dilution:** 685.3M tokens vest over 48 months, so a static $28M treasury falls to $0.028 of NAV per token at full dilution.

## 08 What should we watch next?

- **RCM launch:** the first subDAO markets, targeted for Q3 2026; monthly volume of $5M+ would validate the fee loop.
- **New allocations:** the roadmap targeted 10 treasury positions by Q3 2026, from a pipeline including FieldAI, Skild AI and Physical Intelligence.
- **RCM expansion:** perpetuals, prediction markets and more subDAO listings, planned for Q4 2026.
- **Second DEUS Labs incubation:** an undisclosed venture scheduled for Q4 2026.
- **Portfolio exits:** an IPO or acquisition among portfolio companies in the 2027 to 2028 window.
